"Site", "Sites", or "Website" means all Amulis Awards owned and/or affiliated websites.
“Content Provider” means a third party that owns a white paper, analyst report or other document and allows the Amulis Awards to link to or to display that document. This is usually a vendor that has entered the Amulis Awards.
“User”, "Entrant", or “You” means any person viewing any page of the Sites or our emails, or otherwise engaged with the Amulis Awards.
“Profile Information” means information which you provide which may include, but shall not be limited to: your name and corporate title, the name of your company and the department in which you work, your industry group, country, zip code, telephone number, and various industry questions.
“Third Party Content” means the white papers, analyst reports and other documents available through the Sites and owned by Content Providers.“Event” means any conferences or events, whether conducted virtually or in-person.
“Services” means all Amulis Awards products, services, deliverables, and materials located on or accessible through the Websites.
“Third-Party Products” means any third-party information, website, product, service, or materials referenced in, accessible through, or provided in connection with, the Website or Services.
“Content”, “Posting”, or “Submission” means the information provided by the entrant as part of the entry and competition.
“Point of Contact” means the person named by the User as the authorized delegate for notifications, communication, and responsibility for the participation in Services.
“Terms”, “TOS”, “Terms of Service”, “Terms and Conditions”, or “T&Cs” means this document that governs the participation of the User in the Services.
Eligibility Criteria
This site is created, controlled and operated in the United States of America by the Amulis Awards, and is intended solely and exclusively for adult residents of the United States, its territories and possessions who are at least 13 years of age or older. If you choose to access this site from another location, you are responsible for complying with local laws, if and to the extent that local laws apply. The Amulis Awards comply with the Children’s Online Privacy Protection Act and do not permit registration by and will not knowingly collect personally identifiable information from anyone under 13. By registering or entering, you represent and warrant that you are 13 years of age or older. Additionally, you must provide true, accurate and complete registration information. Creating an entry under automated means or under false or fraudulent pretenses constitutes unauthorized use and such accounts will be terminated by the Amulis Awards. Knowingly representing falsehoods as fact in entries, including company background information, submissions, rebuttals, questions, closing statements, as well as in social media or external support, are considered unauthorized usage and the Amulis Awards retain the right to modify, delete, or remove text to comply.
Participation
Although we reserve the right to edit submissions at any time, as a general matter, we do not screen or monitor such content. Therefore, you understand that you are solely responsible for all submissions and other materials, whether publicly posted or privately transmitted, that are uploaded, posted, emailed, transmitted or otherwise made available from your email address on our through the Services. You further agree that your submissions will not violate these Terms of Service. Specifically, you represent and warrant that your submissions will not contain any material that:
is false, inaccurate, or misleading; infringes any third party’s copyright, patent, trademark, trade secret or other proprietary rights, or rights of publicity or privacy; violates a nondisclosure agreement, or violates any law or regulation (including, without limitation, those governing export control, unfair competition, or false advertising); is defamatory, constitutes trade libel or product disparagement, or is unlawfully threatening or harassing; is obscene or contains child pornography; or
contains viruses, Trojan horses, time bombs, worms, cancelbots, easter eggs or other computer programming routines that may damage or interfere with the operation of any system, or unlawfully intercept any data or personal information.
You also agree that you will not:
reproduce, distribute, republish or retransmit material posted by any other Services users without the permission of that user and the Amulis Awards; take any action that imposes an unreasonable or disproportionately large load on our infrastructure; or
interfere or attempt to interfere with the proper working of the Services, any activities conducted on or through the Services, or any networks through which you access the Services.
You further represent and warrant that:
your submissions will be original and/or you will obtain all third-party permission necessary for the use of the Postings as set forth below; you are the sole and exclusive owner of all rights herein conveyed to the Amulis Awards and its affiliates; and
you have the full and restricted power to convey such rights to the Amulis Awards and its affiliates free and clear of the claims of any other person or entity.
In sum, entrant submissions do not reflect the views of the Amulis Awards and we do not verify, endorse, or vouch for any such content. We do, however, enforce these Terms of Service, and if we determine in our sole discretion that any submission is inaccurate, was posted without authorization, or otherwise does or may violate these Terms of Service, we reserve the right, at any time, without prior notice and without limiting any and all other rights we may have, at law or in equity, to (a) modify, refuse or remove the submission; (b) revoke the applicable user’s right to use the Services; and/or (d) use any technological, legal, operational or other means available to us to enforce the provisions of these Terms of Service, including, without limitation, blocking specific IP addresses or deactivating the applicable user’s registration, without refunding the entry fee.
Finally, you specifically grant to the Amulis Awards and its affiliates and service providers (or warrant that the owner of such content grants to the Amulis Awards and its affiliates and service providers) a perpetual, worldwide, royalty-free, irrevocable, nonexclusive right and license, sublicensable through multiple tiers, to:
use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display all submissions submitted by you, through your account, and/or on your behalf, in whole or in part; use, in whole or in part, your name, likeness, photograph, voice, company name, screen name, e-mail address and/or other identifying information submitted by you as part of or in connection with such submissions, and reproduce, publish, create derivative works from, distribute, perform and display materials containing the same; and
incorporate the submission in other works in any form, media or technology now known or later developed throughout the universe, and reproduce, publish, display and otherwise distribute the same.
For sake of clarity, by virtue of the above grant, you also give the Amulis Awards and its affiliates permission to copy your submissions as part of the normal backup process and/or to archive discussions containing your submissions and/or images.
Intellectual Property
Restrictions
All rights not expressly granted by the Amulis Awards in these Terms are hereby reserved by the Amulis Awards. There are no implied rights save to the extent rights cannot be excluded by applicable law. You may not use, imitate, or copy, in whole or in part, any Amulis Awards trademark, service mark, trade dress, logo, or other branding (collectively, “Marks”) without, in each instance, prior written consent from the Amulis Awards, in the sole discretion of the Amulis Awards. Consent may be revoked by the Amulis Awards at any time.
Ownership
Any and all software, documentation, images, video, content, logos, page headers, custom graphics, design and user interface elements, scripts, and other materials (the “Content”) contained on the website or outlets controlled by the Amulis Awards or provided in connection to the Amulis Awards, and all modifications, enhancements, and updates, as well as all intellectual property rights associated with any of these materials are owned by the Amulis Awards. Outside parties, including entrants, have no right or license in or to this intellectual property other than the right to use the Services, in compliance with the Terms.
Notice of Intellectual Property Infringement
The Amulis Awards respect copyright laws and intellectual property rights, and we expect and encourage our users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 (“DMCA”), which you may find in full on the U.S. Copyright Office website, the Amulis Awards will do its best to respond with due diligence to claims of copyright infringement when such claims are reported to it using the sample notice form below.
If you believe that your work has been copied in a way that constitutes copyright infringement and is displayed in our Services, please provide substantially the following information to our copyright agent, emailed to info@AmulisAwards.com with the subject line: DMCA Notice of Alleged Infringement.
Identify the copyrighted work that you claim has been infringed or a list of copyrighted works that you claim have been infringed.
Identify the material or link you claim is infringing and to which access you think should be disabled, including the URL of the link shown on the Site or the exact location where such material may be found.
Provide your personal or company name, mailing address, telephone number, and email address.
In the body of such notice, you must include a statement that you have a good faith belief that the disputed use of the copyrighted material is not authorized by the copyright owner, agent, or the law.
A statement that the information in such notice is accurate and, under penalty of perjury, that you as the complaining party are the owner or authorized to act on behalf of the owner.
Judging Criteria and Process
Within each category, all entrants must debate all other entrants. Each of those debates is structured as three questions posed by each entrant (for a total of six answers from each entrant) and a conclusion. Those seven written responses will be judged as the criteria in a round-robin style head-to-head competition. Up to three finalists will be announced and one winner will subsequently be named. Entrants may be docked points for failing to respond to challenges issued by other entrants in the category. All scoring is strictly internal and will not be made public.
Publicity and Marketing
As part of the entry process, entrants may provide information about their company, including logos and names, titles, images, and likenesses of their executives, which may be used in the course of the competition as well as the promotion and marketing of the Amulis Awards.
Disqualification Criteria
Plagiarism, fraud, or other violation of the rules will not be tolerated. The Amulis Awards reserve the right to disqualify without refund and/or refuse future entry to entrants or prospective entrants who have violated the rules as a company or as an individual.
Entries that do not feature Point of Contacts with email addresses matching the website domain name of the entered company will be scrutinized. Outside consultants, agencies, or freelancers submitted on behalf of the company may be required to provide proof of authorization. Any submission found to be without authorization may be disqualified without refund and/or refused future entry at the discretion of the Amulis Awards.
If you believe that a submission was made, falsely representing your company by someone not authorized to do so, please email info@AmulisAwards.com and we will determine eligibility.
Dispute Resolution
Except as otherwise expressly provided in these Terms, all Disputes shall be resolved by binding arbitration, administered as individual arbitration conducted before a single arbitrator through either the American Arbitration Association (“AAA”), www.adr.org, or JAMS, www.jamsadr.com, in San Diego, California, under the laws of the State of California. The arbitration will be commenced as an individual arbitration, and will in no event be commenced as a representative or class arbitration. Under no circumstances will class action, representative action, or collective action procedures or rules apply to the arbitration. All issues will be for the arbitrator to decide, including the scope of this arbitration provision.
The cost of the arbitration process will be paid by the party initiating arbitration, and can only be reimbursed in full or in part if specifically decided by the arbitrator.
You understand that, in the absence of this provision, you would have had a right to litigate disputes through a court, including the right to litigate claims on a class-wide or class action basis, and that you have expressly and knowingly waived those rights and agreed to resolve any Disputes through binding arbitration in accordance with the provisions of this Section. This arbitration provision shall be governed by the Federal Arbitration Act, 9 U.S.C. § 1, et seq.
Limitation of Liability
The Amulis Awards will have no liability to you or any third party for any failure by the Amulis Awards to perform its obligations under these Terms in the event that such non-performance arises as a result of the occurrence of an event beyond the reasonable control of the Amulis Awards, including, without limitation, an act of war or terrorism, natural disaster, failure of electricity supply, riot, civil disorder, or civil commotion or other force majeure event.
The User and the Amulis Awards have agreed that the price of entry paid by the User to enter the Awards is the appropriate amount of value assigned to the Services. The Amulis Awards reserve the right to determine a prorated refund in the event of technical issues, loss of data, or any other unforeseen circumstances. The total limitation on liability, whether refunded at the discretion of the Amulis Awards or awarded via arbitration, will be capped at the total paid by the User to the Amulis Awards for that entry.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or the Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Termination of the Awards Program:
If under any circumstances the Amulis Awards decides to cease operations or cancel a specific sector or category, existing entrants will receive a prorated refund. That refund will be calculated by considering each month of Services since payment as earned, with each month remaining in the projected 12 month cycle of Services to be considered equal twelfths for the purposes of refund. (For example, if User has received six months of Services since payment, they would receive a 50% refund. If they had received nine months of Services since payment, they would receive a 25% refund.)
Refunds
As specified above, the Amulis Awards reserves the right to grant a refund to remedy technical issues or in the event of cancellation of the relevant sector or category.
No refunds will be granted for disqualified entries.
No other refunds will be granted, as payment is made concurrently with the submission of data that immediately begins to be processed for publishing. All sales are final and non-cancellable.
Assignment
You agree that the Terms of Service may be automatically assigned, in whole or in part, by the Amulis Awards or its affiliate to a third party, in our sole discretion, in connection with a merger, acquisition, reorganization or sale of substantially all of our assets, in whole or in part, with the entire agreement remaining in place and binding.
Notice
We may be required by state or federal law to notify you of certain events in the future. Users hereby acknowledge and consent that such notices will be effective upon the Amulis Awards posting such notices on or through the Services and/or delivering them via email to the specified Point of Contact for the User. If the User does not provide the Amulis Awards with accurate contact information, the Amulis Awards cannot be held liable if and when email notifications fail. Users may update the Point of Contact by sending an email to info@AmulisAwards.com.
Entire Agreement
These Terms of Service, including the policies referred to in these Terms, constitute the entire agreement between you and the Amulis Awards and govern User’s participation in the Services, superseding any prior agreements between User and the Amulis Awards. As noted above, Users also may be subject to additional terms and conditions that may apply with affiliate services, third-party content, or third-party software. These Terms cannot be changed or terminated orally.
Updates and Amendments
The Amulis Awards reserve the right to update or amend the Terms of Service, updated on this page. We will do our best to alert all Users of any material changes in a timely fashion.
